General terms and conditions (GTC) for training courses
Scope
Die nachfolgenden Allgemeinen Geschäftsbedingungen (hierin kurz “AGB”) gelten für alle unsere ” Seminare” (d.h. Kurse, Einzel-/Gruppenunterrichts- oder sonstige Trainingsveranstaltungen, sowie sonstige Ausbildungsleistungen – hierin kurz “Seminare”). ” Seminare” sind solche, die durch uns auf eine direkte rechtsverbindliche Buchung des Kunden bei Young-Im Seo – SEO Crossing Cultures Coaching & Training (hierin kurz “SEO COACHING & TRAINING”) hin durchgeführt werden. Für die sogenannten “Inhouse-Seminare”, die durch uns auf rechtsverbindliche Bestellung einer Drittfirma bzw. eines Dritten hin erbracht werden, gelten unsere separaten Allgemeinen Geschäftsbedingungen (AGB) für “Inhouse-Seminare”.
Individual and special conditions of the respective, confirmed seminar shall take precedence.
Terms and conditions of the customer that contradict these General Terms and Conditions shall not be contractually valid unless we have expressly agreed to their validity in writing.
Inquiries/Order/Registration
After you have sent your request online, we will contact you immediately. An order is only made by a telephone or written order from you. In this context, we would like to point out explicitly that a telephone commitment is also binding. In the event of any assignment of our service, the terms and conditions set forth herein shall apply. Our offer is subject to change. Registrations become legally binding with the written confirmation by SEO COACHING & TRAINING.
Seminar fee
The seminar fee is due upon receipt of the invoice as well as the order. We ask you to pay the total amount of the invoice without deductions within 30 days of the invoice date or up to 7 days before the start of the training, whichever is the earlier of both. Payments are requested exclusively to the billing address or account shown on our invoice.
Deregistration by the customer
We ask for your understanding that in the event of deregistration bythe customer at short notice, we must claim the seminar fee as follows:
If you deregister from 14 days to 7 days before the start of the seminar, 50% of the seminar fees will be charged; if you deregister from 7 days before the start of the seminar, the full seminar fees will be charged.
Subsequent deregistration or non-attendance shall not affect our claim to the full seminar fee.
We agree to a transfer of the authorization to participate in the booked seminar, provided that the name and address of the spare part participant are communicated to us in good time in advance.
Modification and cancellation of seminars through SEO COACHING & TRAINING
We reserve the right to adapt the seminars and their course in terms of content and time to the respective conditions of the specific seminar.
For special conditions (e.g. guaranteed performance or similar), please refer to the respective seminar offers for the conditions.
We must also ask for your understanding that we reserve the right to postpone or cancel the seminars offered if there are too few participants or if a speaker is prevented at short notice or for other important reasons. In any case, we will endeavor to inform you of cancellations or necessary changes as soon as possible. If we have to cancel a seminar, we will refund the seminar fee immediately. The same applies if a seminar has to be postponed by us and to you or Your employees are not able to participate in the replacement appointment.
Further claims are excluded, except in cases of intentional or grossly negligent behavior on the part of SEO COACHING & TRAINING.
Of course, we also strive to compensate for the short-term prevention of a speaker by using an equivalent speaker. For this reason too, we would like to point out that there is no claim that a seminar will be held by a particular speaker. This also applies to individual seminars (e.g. Individual lessons etc.).
Copyrights
The seminar documents of SEO COACHING & TRAINING are protected by copyright and may be reproduced – not even in extracts – without the consent of SEO COACHING & TRAINING. SEO COACHING & TRAINING reserves the right to assert copyright claims in the event of infringement, including measures of provisional legal protection. The customer releases SEO COACHING & TRAINING from copyright claims of third parties based on acts of infringement of the customer.
Exclusion of individual participants
In the interest of an orderly seminar operation, we reserve the right to exclude a seminar participant from participation in the seminar in whole or in part if he or she violates his or her contractual obligations significantly or disrupts the course of the seminar in an unreasonable manner. In these cases, the seminar fees will not be reimbursed unless we save ourselves expenses by excluding the participant.
General liability of SEO COACHING & TRAINING
Further claims of the customer are excluded, except in cases of intentional or grossly negligent conduct on the part of SEO COACHING & TRAINING, injury to life, body or health through SEO COACHING & TRAINING or in cases of legally unrestricted liability, e.g. liability at risk. This limitation of liability also applies to assignees and assistants of SEO COACHING & TRAINING.
Written form
All agreements between our customers and us, including any changes or additions to these General Terms and Conditions, must be made in writing. An express or implied waiver of, or non-exercise of, any rights under these Terms and Conditions shall be deemed a one-time waiver; i.e., the waiver shall not apply to future transactions.
Severability clause
Should individual provisions of these General Terms and Conditions be invalid, the validity of the remaining provisions shall not be affected by this. In this case, the contracting parties shall endeavor to provide an amicable regulation that comes as close as possible to the economic purpose of the invalid provision.
Choice of law, place of jurisdiction
The interpretation of the contractual relationship and the resulting rights and obligations of the parties shall be governed exclusively by the law of the Federal Republic of Germany with the exception of its conflict of laws laws. The provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG) do not apply.
The place of jurisdiction for all disputes arising out of and in connection with the seminar contract is the registered office of SEO COACHING & TRAINING, insofar as the customer is a registered merchant, a legal entity under public law, a special fund under public law, or has no general place of jurisdiction in Germany, or the place of residence of the customer is unknown at the time of filing the claim. However, SEO COACHING & TRAINING reserves the right to take legal action in another competent court in this case.
